What is a net worth certificate?

A net worth certificate is a document issued by a Chartered Accountant under ICAI guidelines certifying the financial net worth (total assets minus total liabilities) of an individual, HUF, company, or trust as at a specific date. It is required for bank loans, SEBI accredited investor applications, foreign visa applications, bank guarantees, RERA promoter registration, and LLP/partnership capital contribution.

For SEBI Accredited Investor status, should the principal residence be included?

No. SEBI Circular No. SEBI/HO/IMD/IMD-I/DF9/P/CIR/2021/620 dated August 26, 2021 explicitly states that the net worth of an individual / HUF for accredited investor eligibility is ₹7.5 crore "excluding value of primary/residential house." This tool automatically excludes assets marked as "Principal Residence" from the computation when the SEBI Accredited Investor purpose is selected.

What assets and liabilities should be included?

Assets typically include: bank balances and FDs, listed equity and mutual funds (at market value), PMS / AIF investments (NAV), unlisted shares (book value or last valuation), commercial property, gold and jewellery, business capital/partnership share, and residential property (excluding principal residence for SEBI purpose). Liabilities include: home loan outstanding, vehicle loans, personal loans, business overdrafts, and any guarantees payable.

What is UDIN and how is it generated?

UDIN stands for Unique Document Identification Number — an 18-digit number generated by the signing CA on the ICAI UDIN portal (udin.icai.org). It is mandatory for all CA certificates under ICAI guidelines. The process: (1) generate the certificate draft using this tool, (2) verify all figures, (3) log in to udin.icai.org with your ICAI membership number, (4) generate UDIN for the certificate type and client details, (5) add the UDIN to the certificate and regenerate the final version, (6) sign and issue.

What is the validity period of a net worth certificate?

Validity depends on the issuing authority's requirement. For SEBI Accredited Investor status, the certificate must be dated within the financial year in which accreditation is sought and must reflect financial position as at a recent date. Banks typically accept net worth certificates dated within 3–6 months. Foreign embassies usually require a certificate dated within 3–6 months. RERA rules vary by state. For the most conservative position, issue the certificate with today's date or the most recent quarter-end date.
